1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and HN Digital Group LLC ("Company," "we," "us," or "our") governing your access to and use of the MealPrep web application (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

MealPrep is a web-based meal planning and grocery organization tool that allows users to:

• Plan weekly meals using an interactive calendar grid
• Generate categorized grocery shopping checklists
• Add custom items and notes to meal plans
• Access a food preparation reference library

Important Disclaimer: MealPrep is strictly a logistical and organizational task-management software. It does not provide medical nutrition therapy, dietary advice, customized meal plans based on health conditions, or any form of nutritional consultation. The Service is not intended to diagnose, treat, cure, or prevent any disease or health condition.

3. Account Registration and License

3.1 Personal License

Upon completing a purchase, you are granted a personal, non-exclusive, non-transferable, limited license to access and use the Service for your personal, non-commercial purposes.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4. Payment Terms

4.1 Pricing

The Service is offered as a one-time purchase for lifetime access. The current price is $56 USD. Prices are subject to change, but changes will not affect existing license holders.

4.2 Payment Processing

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service and privacy policy. We do not store your payment card information.

4.3 Taxes

The stated price does not include applicable taxes. You are responsible for paying all taxes associated with your purchase.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or servers
• Upload or transmit viruses, malware, or other malicious code
• Use the Service for any commercial purpose without our written consent
• Resell, sublicense, or transfer your access to the Service
• Reverse engineer, decompile, or disassemble any part of the Service

6. User Content

You retain ownership of any content you create within the Service (such as meal plans, grocery lists, and notes). By using the Service, you grant us a limited license to store and process this content solely for the purpose of providing the Service to you.

You are solely responsible for your content and any consequences of sharing it. We do not endorse any user content.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by HN Digital Group LLC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not warrant the accuracy or completeness of any information provided through the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HN DIGITAL GROUP LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid for the Service.

10. Indemnification

You agree to defend, indemnify, and hold harmless HN Digital Group LLC and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Clovis, New Mexico.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
